Creaters Hub Seller & Vendor Marketplace Agreement

Welcome to the Creaters Hub Seller Partner Network. This Vendor Marketplace Agreement ("Agreement") governs your registration, store operation, product listing, order fulfillment, commission rates, and financial settlement cycles as a merchant partner selling on Creaters Hub.

1. Merchant Registration, Onboarding & KYC Compliance

• Merchant partners ("Sellers") must provide valid business details, including Legal Store Name, Registered Business Address, PAN (Permanent Account Number), GSTIN (where applicable), and verified Bank Account Information.
• Creaters Hub reserves the right to perform background identity checks and request supporting documentation (GST Certificate, Cancelled Cheque, Govt ID) prior to store approval.

2. Product Listings, Product Integrity & Pricing

• Sellers must ensure all listed products contain high-resolution photos, accurate titles, complete material specifications, dimensions, color attributes, stock quantities, and inclusive MRP / selling prices.
• All prices listed on Creaters Hub must be competitive and inclusive of all applicable taxes, GST, and standard handling fees.
• Sellers are solely responsible for ensuring listing information is accurate and up-to-date. Misleading pricing or incorrect product attributes may lead to penalty debits or listing suspension.

3. Intellectual Property Rights & Counterfeit Prohibition

• Sellers warrant that all items listed, designed, or manufactured by them do not infringe upon any third-party trademarks, copyrights, patents, or trade secrets.
• The sale of replica, counterfeit, refurbished, or unauthorized branded goods is strictly prohibited. Zero-tolerance policy applies: counterfeit listings will be unlisted immediately, and seller accounts will be permanently banned.

4. Order Processing, Packaging Standards & Dispatch SLAs

• Sellers must mark orders as "Ready for Shipment" and hand over packages to authorized courier partners within 24 to 48 hours of order notification.
• Sellers must use tamper-evident, durable packaging materials to protect products from transit damage during shipment.
• Repeated dispatch delays, late shipments, or high order cancellation rates by the seller will negatively impact account health and seller tier standing.

5. Marketplace Commission Rates & Fee Schedule

• Creaters Hub charges a marketplace referral commission on every completed transaction. Commission rates are dynamically determined by Category & Department guidelines as set in your Seller Portal.
• Applicable shipping fees, payment gateway processing fees (2%), and category commission rates will be itemized on every order invoice.

6. Bi-Weekly Payout Cycle (14-Day Settlement Terms)

• Seller earnings are calculated and credited automatically every 14 days (Bi-Weekly Payout Cycle) for all successfully delivered orders whose customer return/replacement window has closed.
• Payout settlements are transferred directly via NEFT / RTGS / IMPS to the seller's verified bank account registered in the Seller Hub.
• Detailed order-by-order earnings breakdown, commission deductions, GST breakdown, and payout transaction receipts are accessible anytime under Seller Hub → Finance & Payouts.

7. Logistics, Shipping Fee Debits & Cash on Delivery (COD)

• For orders fulfilled via Creaters Hub logistics, standard shipping fees will be debited according to volumetric weight and delivery zone.
• For Cash on Delivery (COD) orders, Creaters Hub handles cash collection at customer doorsteps and reconciles the net earnings directly into the seller's bi-weekly payout statement.

8. Customer Returns, Replacements & Return-to-Origin (RTO)

• Customers are entitled to a 7-day replacement/return policy for damaged, defective, or incorrect items received.
• If an order is returned by the customer or undelivered by courier (RTO), the product will be routed back to the seller's registered return warehouse address.
• Commission fees are reversed on approved customer returns.

9. Seller Reimbursement Policy & Damage Protection

• If a returned product is damaged or missing original tags/parts due to courier negligence during RTO transit, sellers can file a reimbursement claim under Seller Support → Tickets within 7 days of receiving the package.
• Approved reimbursement claims will be credited to the seller's upcoming 14-day payout cycle.

10. Statutory Tax Collection (GST, TCS & TDS Compliance)

• In compliance with Indian Tax Laws (Section 52 of CGST Act / Income Tax Act), Creaters Hub will deduct Tax Collected at Source (TCS @ 1%) and Tax Deducted at Source (TDS Section 194O) where applicable and deposit it directly with government tax authorities against your GSTIN/PAN.
• Monthly GST Form GSTR-8 tax reports are downloadable under Seller Hub → Reports & Analytics for your tax filing.

11. Seller Performance Metrics & Account Health Ratings

• Seller performance is monitored continuously based on Cancellation Rate (<1.5%), Dispatch SLA Compliance (>98%), Customer Return Rate (<3%), and Product Rating (>4.0 stars).
• Sellers maintaining high performance metrics qualify for Featured Creator badges, lower commission tiers, and priority banner placement.

12. Audit Rights & Store Suspension Policy

• Creaters Hub reserves the right to inspect listings, sample inventory quality, and review merchant transaction history for security, fraud prevention, and quality assurance.
• Store accounts engaging in fraudulent activities, fake orders, self-purchasing, or trademark infringement will be suspended, and pending balances held during investigation.

13. Limitation of Liability & Indemnification

• Sellers agree to indemnify and hold harmless Creaters Hub, its officers, employees, and logistics partners against any third-party claims, legal losses, damages, or liabilities arising from defective products, tax non-compliance, or intellectual property violations.

14. Governing Law & Dispute Resolution

• This Marketplace Agreement is governed by the laws of India. Any legal disputes or claims arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of India.
